Two part question:
Will IOS 5 have an API to expose tasks to applications?
If so, will Toodledo support syncing with Tasks? IE will Toodledo be able to sync Exchange tasks with Toodledo database?

I do not think that iOS 5 will expose the data inside Apple's basic to-do app, but you can bet that we will investigate this.
